prosperus Terms of Service

Prosperity planning is a holistic approach to business, financial, and personal planning. Our education and accountability system is custom tailored for entrepreneurs seeking something different. We co-create process and accountability around work-life integration, time management, finances, and technology. Membership specifically includes:

• Onboarding and first quarter membership (paid one-time)
• Monthly Planning Session
• Personalized Prosperity Plan
• Shared Task Management
• Realtime Net Worth & Investment Dashboard
• Access to Vetted Network Professionals
• Unlimited Video, Email, and Phone Support

Cancellation & Refund Policy

Your prosperus membership can be paused or cancelled at anytime.

• Onboarding: If you have paid the onboarding fee and want to pause or cancelled your future membership, that will be effective immediately from the time your request is acknowledged and responded to. No further charges will be processed until you contact us to resume membership. Please give a 1-2 business day grace period for us to receive and acknowledge your request. There is no refund for unused time.
• Quarterly: If you have paid for a quarter and wish to pause or cancel, that will be effective immediately from the time your request is acknowledged and responded to. No further charges will be processed. When you are ready to resume membership, your account will be credited with your remaining months of membership. Upon completion of your credit, you will be charged for another quarter of membership unless you request to cancel membership upon year completion. Please give a 1-2 business day grace period for us to receive and acknowledge your request. There is no refund for unused time.
• Enterprise: Each enterprise membership is subject to it's own contract.

Membership as a Consulting Service

prosperus membership is considered am "Ongoing Consulting" engagement as defined in the Master Service agreement below.

N8 Ventures, LLC Master Service Agreement

This Master Service Agreement ("Agreement") is entered into on date of initial payment by and between N8 Ventures LLC ("Consultant"), and You ("Client").

Purpose of Agreement

The purpose of this Agreement is to set forth the terms and conditions under which Consultant will provide consulting services to Client. More importantly, it is a guideline to be referenced throughout an ongoing and evolving business relationship. N8 Ventures LLC, prosperus, and all future DBA (“Doing Business As”) names wishes to set the tone for our relationship with trust and mutual understanding. Any future oral agreements and business dealings will be done with the understanding this document guides our interactions.

Scope of Services

Consultant will provide a unique and specific scope of services for each Individual Engagement (“Engagement”). Each Engagement will bring with it an Individual Engagement Contract (“Contract”). Scope of services may include but not be limited to:

• Projects: Defined engagements with a goal, process, and deliverable.
• Ongoing Consulting: Pre-paid time engagement to assist with ongoing Client needs.

Term of Agreement

This Agreement will commence on the date of acceptance by Client and will remain in force until a new Agreement is proposed and accepted.

Any Contract will adopt this Agreement as the basis for terms of service. Further, all Contracts shall be signed by Client. In the event Client does not sign the Contract but provides payment in expectation the scope of work will be produced, that payment shall be treated as ratification of Contract.

Fees and Expenses

The fee for the consulting services will be set forth under each Contract.

• Projects may be completed with a set price agreed for an end deliverable, as well as accompanied by a stated fee per hour in the event the project goes beyond originally proposed scope. Any departure from scope is subject to agreement by each party and should be documented in writing. Provided the scope of the project has been executed, there will be no refunds made available for consulting services.
• Ongoing consulting will be a pre-paid time engagement and subject to a stated fee based on the Contract. All consulting packages are non-refundable service agreements. Provided Consultant has made reasonable attempts to satisfy the Contract, there will be no refunds made available for consulting services.
• Additional expenses incurred by Consultant in connection with the consulting services, including but not limited to travel expenses, software licensing, or other expenses specifically included in Contract will be reimbursed by Client upon presentation of receipts.

Confidentiality

Consultant and Client acknowledge that they may have access to confidential information belonging to each other. Each party agrees to maintain the confidentiality of such information and to use it only for the purposes of this Agreement.

Intellectual Property

All intellectual property developed by Consultant in connection with the consulting services will be owned by Consultant. Client will have a non-exclusive, non-transferable license to use such intellectual property for the purposes of this Agreement.

Termination

Either party may terminate this Agreement at any time upon written notice. Upon termination, Consultant will be paid for any services rendered in the service of a Contract up to the date of termination.

Governing Law

This Agreement will be governed by the laws of the state of Illinois.

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral. This Agreement may not be amended or modified except in writing signed by both parties.
